Terms of Service

These Terms of Service (the “Terms”) govern your use of the Dashlight Fuel website (dashlightfuel.com), the customer app (Dashlight Fuel), the driver app (Dashlight Driver), and the related backend service (collectively, the “Service”), provided by Dashlight Fuel LLC. By creating an account or using the Service you agree to these Terms.

1. Eligibility

You must be at least 18 years old and able to form a binding contract under Tennessee law. Drivers must additionally hold a valid U.S. driver’s license and any permits or hazardous-materials endorsements required to transport diesel and gasoline for delivery in their jurisdiction. You may not use the Service on behalf of another person without their authorization.

2. The service

Dashlight Fuel delivers gasoline (87 and 93 octane) and on-road diesel (#2) to vehicles within a defined service area around Collierville, TN. You schedule a delivery in the customer app: you pick a vehicle, an address, a fuel grade, a quantity (or “fill up”), and a delivery window. A driver fulfills the order at the chosen address. Diesel is delivered to trucks only. Placing a delivery order requires an active monthly membership (see Section 4). The fuel price per gallon used to bill you is the price quoted in the app at the moment you place the order.

3. Account responsibility

You are responsible for keeping your password confidential, for all activity on your account, and for keeping your contact information current so we can reach you about a delivery. Notify us immediately if you suspect unauthorized access to your account.

4. Membership, fees, and payment

4.1 Membership

• Monthly membership: $44.99 per month. The membership covers up to 2 vehicles on your account.
• Additional vehicles: $10 per month each. Add as many as you need; there is no cap. Adding or removing a vehicle changes your monthly bill on a prorated basis starting the moment the change is made in the app.
• The membership renews automatically each month on your billing date until you cancel. We charge your saved payment method on file each cycle.
• An active membership is required to place a delivery order. If your membership lapses (for example after a failed renewal), order placement is paused until the membership is reactivated.
• Sales tax does not apply to the membership or to the delivery fee. See Section 4.3.

4.2 Per-delivery charges

• Flat $5 delivery fee per delivery. No surge pricing, no per-gallon markup. The same $5 whether we deliver 5 gallons or fill a 30-gallon tank.
• Fuel at the current market rate. The price per gallon shown at order time is the price you pay, regardless of subsequent rack price changes between when you place the order and when we deliver.
• Tax is collected on fuel only at the combined TN + Shelby County rate (currently 9.75%). The delivery fee and the monthly membership are not taxed.

4.3 How we charge you for a delivery

• When you place an order, we place a Stripe payment authorization on your card for the estimated total (fuel + delivery fee + tax). For “fill up” orders, the estimate is based on your vehicle’s tank size plus a small buffer.
• We capture payment when the driver completes the delivery and enters the actual gallons delivered. If the actual total is less than the authorization, we capture only the actual amount and the rest of the authorization is released.
• If the actual total exceeds the authorization (most often on a fill-up that took more gallons than estimated), we capture the full authorization and then charge the remainder off-session to your saved payment method.
• If a charge does not succeed (for example a declined card on an overage), the unpaid amount is recorded as an outstanding balance on the order. You can settle it in the app, and a future order placement may be blocked until the balance is cleared.

5. Cancellation and refunds

5.1 Order cancellation

• You can cancel an order free of charge at any status before EN_ROUTE (driver on the way). The payment authorization is released immediately.
• Cancellations after EN_ROUTE are subject to a flat trip fee, deducted from the payment authorization. The remainder is released.
• Once a delivery is marked COMPLETED by the driver, refunds are handled case-by-case. Email support@dashlightfuel.com.

5.2 Membership cancellation

• You can cancel your membership at any time from the app. There is no cancellation fee and no minimum term.
• By default, cancellation takes effect at the end of your current billing cycle. You keep full access (including the ability to place orders) through that date and you are not charged for the next cycle.
• You can also choose to cancel immediately. Access ends right away and you are not charged for the next cycle. Partial months already paid are not refunded.
• Your vehicles, addresses, and order history remain on your account so you can reactivate the membership later.

6. Fuel safety and your cooperation

Delivering fuel in a populated area is regulated. To use the Service you agree to:

• Provide a delivery address that the vehicle can be safely fueled at: a paved or unpaved private driveway, a private parking lot, or a private garage with adequate ventilation.
• Confirm that the vehicle’s fuel cap is accessible and the vehicle is parked safely (parking brake engaged, engine off, no smoking within 25 feet).
• Not request delivery in any location prohibited by local fire code, including enclosed underground garages, areas with active ignition sources, or addresses that violate HOA or municipal restrictions.
• Provide accurate vehicle and fuel-grade information. Diesel in a gas vehicle, or vice versa, can cause serious damage; we are not liable for damage caused by inaccurate vehicle or grade information you provide.

Drivers may decline to fuel any vehicle they reasonably believe presents a safety risk and will document the reason. The order will be cancelled and the trip fee may apply.

7. Service area

The Service is available only at addresses inside our published service area (currently the 38017 ZIP and the immediately adjacent ZIPs around Collierville, TN). Coverage and pricing may change at any time.

8. Acceptable use

You agree not to:

• Use the Service for any unlawful purpose, including unlicensed commercial fueling.
• Reverse engineer, scrape, or otherwise attempt to extract source code or data beyond what the public APIs provide.
• Interfere with, abuse, or impersonate other users or our drivers.
• Submit false vehicle, address, or payment information.

9. Intellectual property

The Service, including the website, the apps, the brand name, logos, and the underlying software, is owned by Dashlight Fuel LLC and protected by U.S. copyright and trademark law. You receive a limited, revocable, non-transferable license to use the Service for its intended purpose.

10. Disclaimers

The Service is provided “as is” and “as available.” We make no warranty of merchantability, fitness for a particular purpose, or non-infringement, except as required by law.

11. Limitation of liability

To the maximum extent permitted by law, Dashlight Fuel LLC and its officers, employees, and contractors are not liable for indirect, incidental, special, consequential, or punitive damages, or for lost profits or revenues, arising out of your use of the Service. Our aggregate liability for any claim arising out of or relating to the Service is limited to the greater of (a) the amount you paid us in the 90 days before the claim arose, or (b) one hundred U.S. dollars (US$100).

12. Indemnification

You agree to defend, indemnify, and hold Dashlight Fuel LLC harmless from any claim or demand arising out of (a) your use of the Service, (b) your violation of these Terms, or (c) your violation of any third-party right, including any vehicle owner whose vehicle you provided for delivery without authorization.

13. Governing law and dispute resolution

These Terms are governed by the laws of the State of Tennessee, without regard to its conflict-of-laws rules. Any dispute arising out of or relating to these Terms or the Service will be resolved by binding arbitration administered by the American Arbitration Association under its Consumer Arbitration Rules, with arbitration seated in Shelby County, Tennessee. Either party may bring an individual claim in small-claims court instead. You may opt out of this arbitration agreement by emailing legal@dashlightfuel.com within 30 days of first agreeing to these Terms.

You and Dashlight Fuel both waive the right to a jury trial and the right to participate in a class action.

14. Changes to these terms

We may update these Terms from time to time. Material changes will be communicated in the app or by email at least 14 days before they take effect. Continued use of the Service after the effective date constitutes acceptance.
